The UAE’s introduction of a federal corporate tax in June 2023 ended the country’s reputation as a zero-tax jurisdiction — but only on paper. The headline 9% rate applies to taxable profits above AED 375,000; profits below that threshold are taxed at 0%, a deliberate carve-out to protect small businesses and startups.
The Free Zone exemption
The most consequential nuance is the treatment of Free Zone entities. A Qualifying Free Zone Person continues to enjoy a 0% rate on qualifying income, provided it maintains adequate substance in the UAE, does not elect to be taxed at the standard rate, and complies with transfer pricing rules. This is why, for the majority of well-structured Free Zone businesses, the effective corporate tax rate remains zero.
Substance and transfer pricing
The exemption is not automatic. Authorities now expect genuine economic substance: real offices, real staff and real decision-making conducted in the Emirates. Related-party transactions must be priced at arm’s length, with documentation to match OECD standards. Shell structures that exist only to capture the 0% rate are precisely what the new regime is designed to catch.
What the UAE still does not tax
Crucially, the UAE retains its headline attractions. There is no personal income tax on salaries or investment income. There is no capital gains tax for individuals, and no withholding tax on cross-border dividends, interest or royalties. A small business relief regime allows qualifying companies with revenue under AED 3 million to be treated as having no taxable income through to the end of 2026.
The decision matrix
For founders, the calculus is straightforward. A mainland trading company serving the local UAE market will generally pay 9% above the threshold. A Free Zone entity with qualifying activities and proper substance will generally pay 0%. The choice between them is no longer purely about market access — it now carries a direct, quantifiable tax consequence that compounds over the life of the business.
